Streszczenie w języku polskim
Transakcje z podmiotami powiązanymi stanowią istotny obszar regulacyjny, kształtujący współczesny ład korporacyjny. Reżim nadzoru nad tymi transakcjami w państwach członkowskich Unii Europejskiej został zharmonizowany w wyniku transpozycji prawodawstwa unijnego do porządków krajowych. Wdrożenie tego reżimu przez państwa członkowskie wymagało jednak przyjęcia definicji transakcji istotnej, wyznaczającej zakres przedmiotowy jego zastosowania. O ile przepisy implementowane przez państwa członkowskie zawierają wytyczne dotyczące sposobu określania progu istotności (co zasadniczo nie nastręcza trudności interpretacyjnych), o tyle pojęcie transakcji regulują w sposób zróżnicowany: od braku jakiejkolwiek regulacji, po przyjęcie szczegółowych definicji legalnych tego pojęcia. Celem artykułu jest przeprowadzenie zwięzłej analizy prawnoporównawczej regulacji dotyczących definicji transakcji w wybranych państwach członkowskich oraz sformułowanie na jej podstawie postulatu de lege ferenda dotyczącego zmiany obowiązującego w prawie polskim reżimu transakcji z podmiotami powiązanymi poprzez wprowadzenie legalnej definicji transakcji.
